Terms of Service

These terms cover commercial engagement with Backroom Ops (Hamilton, New Zealand). By paying for a plan or confirming a retainer by email, you agree to this summary. A signed order or Stripe checkout confirmation is enough to start; we may issue a short written schedule for scoped extras.

Plans and fees

Operator Retainer is NZ$790 per month excluding GST, billed month to month. You may cancel any time before the next billing cycle; work already performed in the current month is not refunded. Guard Rails is NZ$19 per month excluding GST for a lighter monitoring and checklist cadence — same approval gate, narrower weekly scope. Prices are in New Zealand dollars. GST is added where New Zealand tax rules require it for the invoice.

Approval-gated work

Contractually, “approval-gated” means we will not execute a material live change until you (or a named delegate) have approved it in writing — email, ticket, or the channel we agree at kickoff. Material changes include refunds outside a pre-agreed playbook, catalogue price or discount changes, inventory quantity rewrites, theme or app installs that affect checkout or customer data, and publishing or unpublishing products or collections. Execution is logged. Urgent platform outages may be discussed verbally and confirmed in writing the same day.

Client responsibilities

You remain the store owner. You provide accurate access (staff or collaborator permissions scoped to the work), respond to approval requests within a reasonable time, keep payment methods current, and tell us promptly about staff changes, channel expansions, or accounting system switches. You do not share payment-processor secret keys or bank credentials with us; we do not accept them.

Limitation of liability

To the extent permitted by New Zealand commercial law, our aggregate liability for any claim arising from the services is limited to fees paid to us in the three months before the claim. We are not liable for indirect or consequential loss, lost profits, or loss arising from decisions you make after receiving our proposals. Nothing in these terms limits rights that cannot be excluded under the Consumer Guarantees Act where that Act applies; for business-to-business supply you acknowledge the services are acquired for business purposes and the CGA may be contracted out to the extent allowed.

GST, currency, and governing law

Invoices are in NZD. GST treatment follows New Zealand Inland Revenue rules for the supply. These terms are governed by the laws of New Zealand. Courts of New Zealand have non-exclusive jurisdiction. Disputes and notices: hello@backroomops.co.nz.
